By engaging our services, submitting payment, signing a Client Service Agreement, or interacting with our systems, you agree to be legally bound by these Terms.

Section 02

Services

Echelon Techknowledgies provides custom-built AI automation systems and business infrastructure, including but not limited to:

  • AI automation systems including the Echelon Agent (voice, chat, and call handling)
  • Workflow and operational infrastructure design and deployment
  • CRM integrations and pipeline automation
  • Communication systems including SMS, voice, email, and chat automation
  • Lead generation, qualification, and outbound outreach systems
  • Ongoing technical support, optimization, and maintenance

All services are custom-scoped and delivered pursuant to an executed Statement of Work. No two engagements are identical, and deliverables are specified on a per-client basis.

Section 03

Payment Terms

All fees are as specified in the applicable Statement of Work or invoice. The following terms apply to all engagements:

  • Setup and implementation fees are due in full prior to commencement of any build or deployment work
  • Monthly retainer fees are due on the first (1st) of each month, or Net-15 from invoice date where agreed in writing
  • Payments are processed electronically via secure third-party processors (e.g., Stripe)
  • Client agrees to maintain a valid payment method on file at all times during the engagement
  • Invoices unpaid after five (5) business days are subject to a late fee of 1.5% per month (18% per annum) on outstanding balances
  • Echelon reserves the right to suspend all services immediately upon non-payment without further notice

Section 04

No Refund Policy

All payments made to Echelon Techknowledgies are non-refundable, except in cases of material breach by Echelon as described below. Due to the custom nature of our services, work begins immediately upon receipt of payment and resources — including time, personnel, and third-party tooling — are allocated specifically to each client engagement.

No refunds will be issued for:

  • Change in business direction, strategy, or priorities by the client
  • Delays caused by client's failure to provide required access, credentials, or approvals
  • Lack of use of delivered systems or automations
  • Dissatisfaction with results not attributable to a breach of agreement by Echelon
  • Termination initiated by client prior to the end of the Minimum Commitment Period

Exception: In the event of a verified material breach of the Client Service Agreement by Echelon Techknowledgies — where Echelon fails to deliver agreed services and does not cure such breach within fifteen (15) days of written notice — a partial or full refund may be considered at Echelon's sole discretion on a case-by-case basis.

Section 05

Minimum Commitment & Termination Notice

All monthly retainer engagements are subject to a minimum commitment period of three (3) consecutive months from the go-live date of the applicable Statement of Work. Client may not terminate a monthly retainer engagement during the Minimum Commitment Period.

If a client terminates prior to the end of the Minimum Commitment Period, all remaining monthly fees through the end of that period become immediately due and payable in full.

After the Minimum Commitment Period, either party may terminate by providing thirty (30) calendar days' written notice. Monthly fees continue to accrue and remain payable through the end of the notice period.

Section 06

Client Responsibilities

Client agrees to fulfill the following obligations throughout the engagement:

  • Provide timely access to required systems, platforms, credentials, and personnel
  • Respond to communications, approval requests, and outstanding items within a reasonable timeframe
  • Comply with all applicable laws and regulations, including but not limited to TCPA, GDPR, CAN-SPAM, and applicable state communication laws
  • Use all delivered systems ethically, lawfully, and responsibly
  • Obtain any necessary consents from their own customers or contacts before deploying automated communication systems

Client acknowledges that delays caused by failure to meet these responsibilities may result in timeline extensions and do not relieve Client of payment obligations.

Section 07

Platform Dependency

Certain services may rely on third-party platforms and APIs, including but not limited to Meta (Facebook / Instagram), Google, Twilio, OpenAI, and other AI or communication providers. Echelon Techknowledgies is not responsible for disruptions, outages, policy changes, pricing changes, or feature deprecations imposed by these platforms.

Any additional costs resulting from third-party platform changes, new API fees, or required tooling upgrades are the responsibility of the Client unless otherwise specified in writing.

Section 08

Performance Disclaimer

Echelon Techknowledgies designs, builds, and delivers automation systems and infrastructure. We do not guarantee specific business outcomes, including but not limited to:

  • Revenue growth or specific revenue targets
  • Lead volume or lead quality
  • Conversion rates or sales outcomes
  • Return on investment within any specified timeframe

Results depend on numerous external factors including but not limited to market conditions, offer quality, client execution, team responsiveness, and economic environment. Any projected results discussed during the sales process represent estimates based on industry benchmarks and are not contractual guarantees.

Section 09

Intellectual Property

All systems, automations, code, and deliverables built by Echelon Techknowledgies remain the intellectual property of Echelon until full payment of all fees has been received. Upon full payment, Client receives usage rights to client-specific deliverables as described in the applicable Client Service Agreement.

Echelon retains all rights to its underlying frameworks, methodologies, templates, and proprietary processes, regardless of payment status. Client is granted a non-exclusive license to use such embedded materials solely as part of the delivered systems.

If Client fails to make payment, Echelon reserves the right to revoke access to any delivered systems and require Client to immediately cease use of all Echelon-built deliverables.

Section 10

Termination

Echelon Techknowledgies reserves the right to suspend or terminate services immediately and without further notice if:

  • Payment is not received within five (5) business days of the due date
  • Client violates any provision of these Terms or the Client Service Agreement
  • Client breaches the policies of any third-party platform used in the delivery of services
  • Client engages in fraudulent, illegal, or unethical conduct

Upon termination for any reason, all outstanding fees — including fees through the end of the applicable notice period or Minimum Commitment Period — become immediately due and payable. Echelon will provide reasonable transition assistance for up to thirty (30) days at its then-current hourly rate.

Section 11

Limitation of Liability

To the maximum extent permitted by applicable law, Echelon Techknowledgies shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages of any kind
  • Loss of revenue, profits, or business opportunities
  • Disruptions caused by third-party platforms, tools, or APIs
  • Data loss or security breaches outside of Echelon's reasonable control

Echelon's total cumulative liability to Client for any claim arising under these Terms shall not exceed the total fees paid by Client to Echelon in the three (3) months immediately preceding the event giving rise to the claim.

Section 12

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any dispute arising under these Terms that cannot be resolved by good faith negotiation within thirty (30) days shall be submitted to binding arbitration in Clark County, Nevada, administered by the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
